Preamble

Welcome to Edumentis, a platform operated by Edumentis Inc. ("we", "us", "our"), together with our exam partners ("Partners"). To deliver our Services (defined below) through our website, mobile apps, and social media profiles (together, "Online Services"), you must agree to these Terms of Service ("Terms"). These Terms set out the relationship between you and Edumentis Inc.(also "Provider"). By registering, installing, accessing, or using our Online Services in any way, you accept these Terms.

These Terms apply equally regardless of gender.

Our Services

Our Services are built around helping students prepare for exams through a comprehensive online learning experience. Edumentis provides the following features, which may differ depending on the exam:

  • Create and manage a personal user account.
  • Access structured, high-quality lessons presented in a clear and easy-to-navigate format.
  • Study with an extensive library of flashcards.
  • Practice with multiple-choice and essay questions modeled after real exam conditions.
  • Build custom tests targeting specific subject areas.
  • Work through past exam papers.
  • Take part in ranked exam simulations to assess your readiness.
  • Monitor and review your study progress and performance by category.
  • Receive tailored content suggestions and AI-assisted tutoring based on your results.
  • Join study groups and share your progress with peers.
  • Participate in community features under a public username (usernames are always visible to others). Depending on your privacy settings, you may also display a profile picture, full name, short bio, chosen exams, and public signals such as badges or rank. These settings can be adjusted at any time in Settings.

Privacy And Security Principles: Privacy and security have been core to how we build our Services from the very beginning.

Improving Our Services: We continually analyze how users engage with our Online Services so we can make them better. This involves using data within our own systems as well as working with third-party partners such as analytics providers (e.g., PostHog) and error tracking tools (e.g., Sentry).

Safety And Security: Keeping our Services and our users safe is a top priority. We actively work to detect and address abuse and behavior that violates our Terms. Misuse of the platform, harmful actions toward others, and any policy breaches are strictly prohibited. We will take appropriate action, which may include removing content, suspending accounts, or involving law enforcement when required.

Global Access: To serve users worldwide, we operate data centers and infrastructure across multiple countries, which may be outside your country of residence. These systems ensure our content remains accessible globally and may be operated by our service partners or affiliated entities.

Automatic Deletion of Inactive Accounts: To keep our platform running efficiently and manage user data responsibly, accounts with no activity for a continuous period of one year will be treated as inactive and may be automatically deleted. Activity is measured by actions such as signing in and using the app while online. Users nearing this threshold will be notified within the app, and those with a registered email address will also receive an email alert.

Devices And Software: Using our Online Services requires compatible devices, software, and an internet connection, none of which we provide. By using our Services, you agree to install updates as they become available, either manually or automatically. You also consent to receiving essential service-related notifications as needed.

Fees And Taxes: You are responsible for any carrier data fees, internet charges, and applicable taxes incurred while using our Services. Be aware of the local connectivity costs that may apply when accessing our Online Services.

Permission to Use Submitted Materials: By submitting essays, answers, or other materials on Edumentis, you grant us and our Partners, along with our respective successors and assigns, (1) all rights, title, and interest in the intellectual property of those materials, and (2) an irrevocable, perpetual, royalty-free, worldwide license to use, copy, modify, publish, translate, create derivative works from, and distribute those materials in any form or medium, without compensation to you. You also waive any moral rights in those materials. Submitted materials are not subject to any obligation of confidentiality. We will not include individually identifying information without your explicit permission. You confirm that your submissions do not infringe any third-party rights and that no conflicting licenses have been granted. We and our Partners may use or decline to use any submitted materials for any purpose without crediting you as the source.

In-App Purchases and Subscriptions

We offer premium features and additional content ("Paid Services") via in-app purchases, available either through Stripe or through your app store's in-app purchase system once our mobile app is released. Pricing and feature details will be shown clearly within our Online Services before any purchase. These Terms, along with any purchase-specific terms communicated at checkout, apply to all purchases and to the enhanced functionality they unlock.

Trial Use:We may offer certain Paid Services on a trial basis, free of charge or at a reduced price, for a limited time determined at our sole discretion ("Trial Use"). The scope of Trial Use may be changed or ended at any time without notice, and we reserve the right to terminate any trial immediately. Trial Use is for evaluation purposes only and may not reflect the final capabilities or ongoing availability of Paid Services. Unless stated otherwise, a trial may automatically convert into a paid subscription at the end of the trial period, subject to the terms agreed at sign-up.

Until You Pass Option:For select products, we offer an "until you pass" guarantee. If you purchased such a product and did not pass your exam, you may contact us by email to request a free extension of your study access. Proof of exam failure may be required. This guarantee applies only to exam prep packages explicitly marked with "until you pass" or equivalent wording at the time of purchase. All eligibility decisions are made at our sole discretion.

Privacy Policy And User Data

Your privacy matters to us. Our Privacy Policy explains how we collect, use, and share your information, and outlines your rights in relation to that data. It covers our commitment to protecting your personal information, including provisions for the automatic deletion of inactive accounts described under "Our Services". The Privacy Policy also sets out the legal bases for processing your personal data, including collection, use, and sharing, as well as any transfers to the United States or other countries where our infrastructure, service providers, or partners operate.

Acceptable Use Of Our Services

Our Terms And Policies: You must use our Services in accordance with these Terms and all applicable policies. If you breach them, we may take action on your account, including suspension or disabling. If your account is disabled, you must not create a new one without our permission.

Legal And Acceptable Use: You may only access and use our Services for lawful and authorized purposes. You agree not to use, or help others use, our Services in any way that: (a) violates or infringes the rights of Edumentis Inc., our Partners, our users, or any third party, including privacy, publicity, or intellectual property rights; (b) is illegal, obscene, defamatory, threatening, harassing, hateful, or racially or ethnically offensive, or encourages any such conduct; (c) involves publishing false, misleading, or deceptive content; (d) involves impersonating any person or entity, or misrepresenting your affiliation; or (e) involves commercial or non-personal use of our Services without our written authorization.

Harm To Edumentis Inc., Partners, Or Our Users: You must not, directly or indirectly, through automated or other means, access, copy, modify, distribute, or otherwise exploit our Online Services in any unauthorized way, or in any manner that damages or impairs us, our Partners, our systems, or our users. Prohibited actions include: (a) reverse engineering or extracting code from our Services; (b) transmitting viruses or other malicious code; (c) attempting unauthorized access to our systems; (d) disrupting the security or performance of our Services; (e) creating accounts through automated or unauthorized means; (f) harvesting user data without authorization; (g) reselling or charging for our Services without permission.

Registration and Account Information: You agree to provide accurate, current, and complete information when registering and to keep it up to date. If you provide false or incomplete information, we may suspend or terminate your account and refuse current or future access to our Services.

Account Security: You are responsible for keeping your password and account credentials confidential. Notify us immediately if you suspect unauthorized access to your account. We are not responsible for losses resulting from your failure to protect your account.

Content Usage: You may not share, copy, or distribute questions, materials, or any content accessed through our Services to others, whether for payment or free, without our express written permission.

Third-Party Services

Our Services may include links to or integrations with third-party websites, applications, and other external services ("Third-Party Services"). These Terms and our Privacy Policy apply only to your use of our Services. When you access Third-Party Services, you do so at your own risk and are subject to their own terms and privacy policies.

We do not endorse any Third-Party Services and are not responsible for their content, accuracy, privacy practices, or any other aspect of them. We and our Partners are not liable for any damages or losses arising from your use of or reliance on Third-Party Services.

You should review the terms and policies of any Third-Party Service before using it. If you have questions or concerns about a third-party service, contact that provider directly.

Disclaimers

Intellectual Property: All content on our Online Services — including text, graphics, logos, images, and software — is protected by applicable intellectual property laws, including U.S. and international copyright law. Any reproduction, modification, or distribution beyond what is permitted by law requires the express written consent of the rights holder. Downloads are permitted for private, non-commercial use only. Some content may be AI-generated or sourced from the public domain and may not be subject to copyright protection. Content provided by our Partners is protected by their respective intellectual property rights. If you become aware of any infringement, please notify us promptly and we will take action to remove the affected content.

Content Accuracy: We work to ensure the content on our Online Services, provided by Edumentis Inc. and our Partners, is accurate and current. However, we do not guarantee the completeness, accuracy, or timeliness of any content. We are not obligated to monitor third-party content stored or transmitted through our Services, though our obligations to remove or block content under applicable law remain unaffected.

Service Reliability:We strive to provide our Services carefully and maintain a secure, reliable environment. However, we do not guarantee that our Services will be uninterrupted, timely, secure, or error-free. You use our Services at your own risk. To the fullest extent permitted by law, we and our Partners disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Our Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Limitation of Liability

To the fullest extent permitted by law, you agree that Edumentis Inc. and our Partners will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages — including loss of profits, goodwill, data, or other intangible losses — arising from:

  1. Your access to, use of, or inability to use our Services;
  2. The cost of obtaining replacement goods or services resulting from any transaction made through our Services;
  3. Unauthorized access to or alteration of your data or transmissions;
  4. Any third-party conduct or content on our Services;
  5. Any content you obtain through our Services;
  6. Any other matter related to our Services.

This limitation applies regardless of the legal theory — contract, tort, negligence, strict liability, or otherwise — and whether or not Edumentis Inc. or our Partners were advised of the possibility of such damages.

We and our Partners are not liable for intellectual property infringement or any harm resulting from content on our Online Services. We will take prompt action to remove infringing content upon becoming aware of it.

Exclusions and Limitations

Time Limit for Claims: Any claim or arbitration under these Terms must be initiated within one (1) year of when the cause of action arose.

Jurisdictional Limitations: Some jurisdictions do not permit the exclusion of certain warranties or limits on liability for incidental or consequential damages. Where this applies, some of the limitations above may not apply to you.

Legal Protections: Your legal rights in relation to Edumentisand our Partners are not reduced by these limitations if the laws of your country of residence do not permit it. If you are a U.S. resident, you expressly waive California Civil Code §1542, which states: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

Availability And Termination Of Our Services

Availability Of Our Services:We are always working to improve our Services and may add or remove features, functionality, or device and platform support at any time. Services may be temporarily unavailable for maintenance, repairs, or upgrades, or due to network and equipment issues. We reserve the right to discontinue any part of our Services, with at least 30 days' notice where possible. Events outside our control, including force majeure events, may also affect availability. We and our Partners are not liable for any interruptions or discontinuations.

Termination: You may end your relationship with Edumentis at any time for any reason by deleting your account. For instructions, see our account deletion guide.

Accounts with no activity for one year are also subject to automatic termination as part of our data management and privacy practices. Affected users will be notified in advance by email and, where applicable, by push notification. See "Automatic Deletion of Inactive Accounts" under "Our Services" for more details.

We may also modify, suspend, or terminate your access at any time, with or without notice, for any reason — including suspected unlawful conduct, fraud, or violation of these Terms.   • Amendments to Terms:We may update these Terms from time to time. Unless required by law to act sooner, we will give you at least 30 days' notice before changes take effect, giving you time to review them. We will also update the "Last Update" date at the top of this page. Some changes — such as those required for technical or legal reasons — may take effect immediately. Continuing to use our Services after the notice period means you accept the updated Terms. If you disagree, you must stop using our Services and delete your account.
  • Separate Terms and Conditions: We may in the future apply separate terms to specific Services, which will require your separate acceptance. These will be shown to you for review before you access the relevant Services.
  • Jurisdictional Restrictions: Our Services are not intended for use in any jurisdiction where doing so would violate local laws or impose additional legal obligations on us or our Partners. We may restrict access in any country at our sole discretion.
  • Compliance with Law: Nothing in these Terms prevents us or our Partners from complying with applicable law.
  • Non-Waiver: Failure to enforce any part of these Terms does not constitute a waiver of our rights or those of our Partners.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, it will be removed or replaced with a valid provision that best reflects the original intent. The remaining Terms will continue to apply. Nothing in these Terms limits any legal rights you may have as a consumer or data subject that cannot be waived by contract.
  • Transfer of Rights: You may not transfer your rights or obligations under these Terms to anyone else without our prior written consent. Any such transfer attempted without consent is void.
  • Amendment or Waiver: Any amendment to or waiver of these Terms requires our explicit written consent. You may end your relationship with Edumentis Inc. at any time by deleting your account. Doing so does not relieve you of any outstanding payment obligations.
  • Feedback and Suggestions: We welcome your feedback about Edumentis and our Services. You have no obligation to provide it, and if you do, we and our Partners may use it without any obligation to compensate you.
  • Arbitration: Any dispute arising from these Terms will be resolved through binding arbitration under the Rules of the American Arbitration Association, not in court. Arbitration will take place in San Francisco, California, and the arbitrator will apply California law without regard to conflict of laws principles.
  • Electronic Records: A printed version of these Terms or any electronically delivered notice will be admissible in any legal or administrative proceeding to the same extent as other business documents originally created and maintained in printed form.
  • Reservation of Rights: All rights not expressly granted herein are reserved.
